Contracts Don't Lie

Acceptable Use Policy

Effective date: August 10, 2026 ยท CDL Intelligence, Inc., a Delaware corporation

This Acceptable Use Policy ("AUP") governs your use of the CDL Intelligence platform (the "Platform") and is incorporated by reference into our Terms of Service. Capitalized terms not defined here have the meaning given in the Terms of Service.

1. Purpose

CDL Intelligence is built for legal, risk, and compliance professionals to manage contracts and vendor relationships responsibly. This AUP exists to keep the Platform trustworthy for everyone who relies on it with sensitive and often privileged material.

2. Prohibited conduct

You may not, and may not permit any third party to:

Legal and security violations

  • Use the Platform for any unlawful purpose, or to store, transmit, or generate content that violates applicable law.
  • Attempt to gain unauthorized access to the Platform, other users' accounts or data, or any system or network connected to the Platform.
  • Probe, scan, or test the vulnerability of the Platform, or attempt to breach any security or authentication measures, except as expressly authorized in writing under a CDL Intelligence-approved security testing or responsible disclosure program.
  • Introduce viruses, malware, or other harmful code into the Platform.
  • Interfere with or disrupt the integrity or performance of the Platform, including through denial-of-service attacks or excessive automated requests that degrade service for other users.

Data and content

  • Upload content you do not have the legal right to upload, including content that infringes a third party's intellectual property rights or violates a third party's privacy or confidentiality rights.
  • Upload content in violation of an applicable protective order, ethical wall, or confidentiality obligation that would be breached by processing that content through a third-party platform.
  • Scrape, harvest, or extract data from the Platform using automated means outside of the Platform's supported APIs and export features.

Misuse of AI features

  • Use the Platform's AI features to generate content intended to deceive, defraud, or misrepresent authorship or authenticity of a legal document (for example, generating a fraudulent contract or forged signature block).
  • Attempt to extract, reverse engineer, or reconstruct the underlying AI models, training data, prompts, or the CDL Framework scoring methodology.
  • Use automated means to submit a high volume of requests to the Platform's AI features for purposes other than your organization's ordinary legal and business use (for example, to build a competing dataset or model).
  • Use AI Output generated by the Platform to train, fine-tune, or evaluate a separate or competing AI model.

Platform integrity

  • Reverse engineer, decompile, or disassemble any part of the Platform's software.
  • Circumvent any usage limits, access controls, or licensing restrictions.
  • Resell, sublicense, or provide access to the Platform to any third party who is not an authorized user under your organization's account, without our prior written consent.
  • Use the Platform to build or assist in building a competing product or service.
  • Misrepresent your identity or affiliation, or impersonate any person or entity, in connection with your use of the Platform.

3. Your responsibility for uploaded content

You are solely responsible for the content you or anyone using your account uploads to the Platform ("Customer Content"). By uploading Customer Content, you represent that:

  • You have all necessary rights, consents, and authority to upload it and to permit CDL Intelligence to process it as described in our Privacy Policy;
  • Uploading it to the Platform does not violate any applicable law, regulation, contract, or ethical obligation binding on you or your organization; and
  • Where Customer Content contains personal data of third parties, you have a lawful basis to process that data and, where required, have provided appropriate notice or obtained appropriate consent.

4. Security research and responsible disclosure

We welcome good-faith security research. If you believe you have found a security vulnerability in the Platform, please report it to security@cdlintelligence.ai rather than exploiting it or disclosing it publicly.

5. Monitoring and enforcement

We reserve the right, but do not assume the obligation, to monitor use of the Platform for compliance with this AUP. Violation of this AUP may result in warning, suspension, or termination of your access, removal of offending content, and, where appropriate, referral to law enforcement. We will generally attempt to notify you of enforcement action and the reason for it, except where doing so would compromise an investigation, pose a security risk, or is otherwise not practicable.

6. Reporting violations

If you become aware of a violation of this AUP, please report it to legal@cdlintelligence.ai.

7. Changes to this policy

We may update this AUP from time to time. Material changes will be communicated in the same manner as changes to our Terms of Service.
